AI Contractor Agreement

This AI Contractor Agreement ("Agreement") governs the relationship between independent contractors and DAKDAN Talent when AI tools are used to perform work, generate content, or contribute to training data.
Scope of Agreement
Who This Agreement Applies To
This Agreement applies to independent contractors, freelancers, and consultants engaged through DAKDAN Talent who:
- Use AI tools (e.g., ChatGPT, GitHub Copilot, Midjourney) to complete deliverables
- Contribute code, content, or data that may be used to train DAKDAN's AI models
- Participate in AI evaluation, labeling, or annotation tasks
- Work on projects involving AI research, development, or deployment
Relationship to Other Agreements
This Agreement supplements (does not replace) your main Contractor Services Agreement. In case of conflict, the more specific AI terms in this document prevail.
AI Tool Usage & Disclosure
Permitted AI Use
You MAY use AI tools for:
- • Code completion and suggestions
- • Grammar and style checking
- • Research and information gathering
- • Drafting initial content for review
- • Data analysis and visualization
- • Debugging and optimization
Prohibited AI Use
You MUST NOT use AI to:
- • Generate work without human review/editing
- • Input confidential client data into public AI tools
- • Bypass security controls or authentication
- • Create deepfakes or misleading content
- • Violate third-party IP or licensing
- • Misrepresent AI output as entirely human-created
Disclosure Requirements
Material AI Contributions
If AI tools generated ≥30% of deliverable content (code, text, images), you must disclose this to the client before final submission. Include:
- • Which AI tool(s) were used (e.g., "ChatGPT-4", "GitHub Copilot")
- • Approximate percentage of AI-generated vs. human-created content
- • Confirmation that you reviewed, edited, and validated all AI output
Disclosure Format
Tool(s): GitHub Copilot, ChatGPT-4
Contribution: ~40% code suggestions, 100% reviewed/tested
Human Oversight: All functions validated, edge cases added manually
Intellectual Property Rights
AI-Generated Content Ownership
Intellectual property ownership depends on the level of human contribution and the type of work:
Human-Dominant
You retain copyright. Client receives license per contract.
Hybrid Work
Joint ownership or "work for hire" depending on contract terms.
AI-Dominant
May not be copyrightable in some jurisdictions (U.S. requires human authorship).
Work-for-Hire Clause
Unless your contract explicitly states "work for hire," you retain copyright in your contributions (including human-edited AI output). You grant the client a perpetual, worldwide, royalty-free license to use the deliverables.
Training Data Contributions
By submitting code, text, or other content to DAKDAN Talent, you grant us a license to use de-identified, aggregated data for:
- AI Model Training: Improving job matching, skill recommendations, and platform features
- Analytics: Aggregate insights on hiring trends, skill demand, market analysis
- Quality Assurance: Detecting anomalies, fraud, or policy violations
Opt-Out: You may opt out of training data contributions by emailing ai-optout@dakdantalent.com. This does not affect your ability to use the platform.
Third-Party AI Tools
When using third-party AI tools (OpenAI, GitHub, Anthropic, etc.), you are responsible for:
- 1.Complying with the tool's terms of service
- 2.Understanding the tool's data usage and IP policies
- 3.Ensuring you have rights to output (some tools claim IP)
- 4.Not inputting client confidential data without permission
- 5.Verifying output doesn't infringe third-party IP
- 6.Using enterprise/API versions for commercial work when required
Compensation & Payment Terms
AI-Assisted Work Compensation
Use of AI tools does not automatically reduce contractor compensation. However:
Standard Rates Apply
If your contract specifies a fixed rate or hourly wage, AI tool usage does not change this unless explicitly renegotiated.
Efficiency Gains
Clients may adjust project scopes or deadlines if AI tools significantly increase productivity (e.g., 50% time reduction). Any changes require mutual written agreement.
Value-Based Pricing
For deliverable-based contracts, compensation is for the value and quality of the final product, not the method of creation. AI is a tool, like any other software.
Training Data Annotation Rates
For contractors performing AI evaluation, labeling, or annotation tasks:

Rates effective March 30, 2026. Specialized tasks (medical, legal) may have higher rates. All rates subject to negotiation.
Quality Standards & Review
Human Review Requirements
All AI-assisted deliverables must undergo human review to meet quality standards:
Code Deliverables
- All functions tested with edge cases
- Security vulnerabilities checked (OWASP Top 10)
- Code style and naming conventions enforced
- Documentation and comments added where needed
Content Deliverables
- Factual accuracy verified with sources
- Plagiarism check passed (<10% similarity)
- Tone and style aligned with brand voice
- Grammar and readability optimized
Grounds for Rejection
Deliverables may be rejected (without payment) if:
- • AI-generated content submitted as-is without human editing
- • Plagiarized or copyright-infringing content (including from AI training data)
- • Factual errors or hallucinations not caught in review
- • Security vulnerabilities or malicious code
- • Failure to disclose material AI contributions when required
Confidentiality & Data Protection
Confidential Information Handling
DO NOT Input into Public AI Tools:
- • Client proprietary code or trade secrets
- • Personal data (PII) of users, employees, or candidates
- • API keys, passwords, or credentials
- • Unreleased product features or roadmaps
- • Financial data or business strategy documents
Permitted: Enterprise AI Tools Only
For confidential data, use only enterprise AI tools with data protection agreements (e.g., ChatGPT Enterprise, GitHub Copilot for Business, Claude for Work). Verify the tool does NOT train models on your inputs.
Violation Consequences: Breach of confidentiality may result in contract termination, non-payment, and legal liability under NDA or state/federal trade secret laws.
GDPR & Data Protection Compliance
When processing personal data of EU/EEA/UK individuals:
- 1.You act as a data processor on behalf of DAKDAN (the controller)
- 2.Process data only as instructed by DAKDAN (no secondary uses)
- 3.Implement appropriate technical and organizational measures (encryption, access controls)
- 4.Report data breaches to DAKDAN within 24 hours
- 5.Delete or return data upon contract termination

Liability & Indemnification
Contractor Representations & Warranties
By submitting AI-assisted work, you represent and warrant that:
You have reviewed, edited, and validated all AI-generated output
The deliverables do not infringe third-party intellectual property rights
You complied with all applicable AI tool terms of service
You disclosed material AI contributions as required
You did not input confidential client data into unauthorized AI tools
The work meets professional standards for your field
You have the right to grant licenses or assign IP as specified in your contract
Indemnification
You agree to indemnify and hold harmless DAKDAN Talent and its clients from any claims, damages, or liabilities arising from: (a) IP infringement in AI-assisted work, (b) breach of AI tool terms, (c) unauthorized disclosure of confidential information, or (d) violation of these AI Contractor Terms.
Termination & Survival
Immediate Termination For:
- • Submitting AI-generated work without human review
- • Confidentiality breach involving AI tools
- • IP infringement or plagiarism
- • False disclosure statements
- • Data protection violations
Provisions That Survive Termination:
- • Intellectual property assignments
- • Confidentiality obligations (perpetual)
- • Indemnification
- • Liability limitations
- • Training data licenses
